Why does the court see this case as involving a quasi-contract as opposed to an actual contract?

A quasi-contract implies an obligation of two parties to each other imposed by law independent of the original agreements between them. The reason as to why the court consider this case as an implied-in-law contract is due to the involvement of BSI. The actual contract in the case involved Reisenfeld and Network Group, but due to the fraud case between BIS and the Network sole shareholder, BSI is relieved its obligations of paying commission to Network Group which constitute into a quasi-contract (Kubasek, 2013).
